- "We," "us," "our," and "Nayou Marketing" refer to Nayou Marketing, its employees, agents, and affiliates.- "Client," "you," and "your" refer to any individual or entity using our services.- "Services" refer to website design, development, and other related services provided by Nayou Marketing.
Services
3.1. Scope of Services: Nayou Marketing provides website design, development, and related services. The specifics of the services will be outlined in a separate agreement or proposal provided to the client.3.2. Modifications We reserve the right to modify or discontinue any part of our services without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the services.
Client Obligations
4.1. Information and Cooperation: You agree to provide all necessary information, materials, and cooperation required for us to perform the services. You warrant that all information provided is accurate and complete.4.2. Compliance: You agree to comply with all applicable laws and regulations, including but not limited to those of South Australia.Fees and Payment5.1. Fees: The fees for our services will be outlined in a separate agreement or proposal. All fees are in Australian dollars unless otherwise stated.5.2. Payment Terms: Payment terms will be specified in the agreement or proposal. Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.5.3. Refunds: Refunds will be provided only in accordance with our refund policy, as outlined in the agreement or proposal.
Intellectual Property
6.1. Ownership: Upon full payment of fees, Nayou Marketing grants you a non-exclusive, non-transferable license to use the website and any related materials. All intellectual property rights not expressly granted remain with Nayou Marketing.6.2. Client Content: You retain ownership of any content you provide to us. You grant Nayou Marketing a non-exclusive license to use, reproduce, and modify your content as necessary to perform the services.
Confidentiality
7.1. Confidential Information: Both parties agree to keep confidential any proprietary information received from the other party and to use such information solely for the purposes of fulfilling their obligations under these terms.7.2. Exceptions: Confidential information does not include information that is publicly available, already in the receiving party’s possession, or obtained independently.
Limitation of Liability
8.1. No Warranty: Nayou Marketing provides services "as is" without any warranties, express or implied. We do not warrant that the services will be uninterrupted, error-free, or secure.8.2. Limitation of Liability: To the fullest extent permitted by law, Nayou Marketing is not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use of the services; (ii) any unauthorised access to or use of our servers and/or any personal information stored therein; and (iii) any interruption or cessation of transmission to or from our services.
Indemnification
You agree to indemnify and hold Nayou Marketing harmless from any claims, damages, liabilities, and expenses arising out of your use of the services, your violation of these terms, or your infringement of any intellectual property or other rights of any third party.
Termination
10.1. Termination by Nayou Marketing: We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these terms.10.2. Termination by Client: You may terminate the services at any time by providing written notice to Nayou Marketing. Fees for services provided up to the termination date will remain due and payable.Governing LawThese terms are governed by and construed in accordance with the laws of South Australia. Any disputes arising under or in connection with these terms will be subject to the exclusive jurisdiction of the courts of South Australia.
Amendments
Nayou Marketing reserves the right to amend these terms at any time. We will notify you of any changes by posting the new terms on our website. Your continued use of the services following the posting of changes constitutes your acceptance of such changes.
Entire Agreement
These terms constitute the entire agreement between you and Nayou Marketing regarding the use of our services and supersede any prior agreements or understandings, whether written or oral.By using our services, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.
